TERMS & CONDITIONS OF PURCHASE POLICY

1) General

· Offers and coupons may not be combined unless expressly stated.

· Prices are subject to change without notice.

· Gift cards and promotional credits are non-refundable and not redeemable for cash except as required by applicable law.

· By purchasing through our websites, over the phone, or on-site at events, you agree to these Terms & Conditions of Purchase, our Terms of Use, Privacy Policy, and Refund & Cancellation Policy.

2) Privacy Policy

3) No Guarantee of Results

Our products and services (including coaching, training, programs, clubs, and events) are for educational and informational purposes only. We do not guarantee outcomes, earnings, or specific results. Entrepreneurship and real-estate investing involve risk and effort. Always consult your own legal, tax, accounting, and financial professionals. Testimonials are individual opinions and are not typical nor promises of results.

4) No-Solicitation Policy (Virtual & Live)

To maintain a distraction-free environment across our events, workshops, masterminds, Zoom sessions, online communities, and official groups, solicitation is prohibited unless you are an authorized sponsor or exhibitor. Prohibited activities include:

· Unapproved receptions, off-site events, hospitality suites, or sub-groups.

· Selling, promoting, or recruiting for non-Rubay products/services/events.

· Unwelcome advances or harassment of participants.

· Distribution of printed or electronic promotional materials (other than business cards).

· Unauthorized use of venue or event Wi-Fi for self-promotion.

Violations may result in immediate removal without refund, and we may pursue recovery of sponsor/exhibitor-equivalent fees and any damages.

5) Physical Products (if offered)

· Items fulfilled by third-party suppliers cannot be exchanged or refunded due to sizing errors, incorrect addresses, or unclaimed shipments. Reshipment fees apply if an order returns due to an insufficient/incorrect address or being unclaimed.

· Claims for misprinted/damaged/defective items or packages lost in transit must be submitted to [email protected] within 30 days of delivery or the expected delivery date.

· For items fulfilled directly by Rubay (not third-party), returns of new, unused merchandise within 30 days of delivery with proof of purchase are eligible for a refund less shipping/handling.

6) Digital Programs, Courses, Memberships & Access

· All digital sales are final. Once access is granted, no refunds or credits are issued.

· If technical issues prevent access, notify [email protected] within 7 days of purchase; we will assist promptly.

· Digital access is personal and non-transferable. You may not share, resell, or reproduce any content.

· Removing a payment method or failing to pay does not cancel your agreement; balances remain due per your plan.

7) Coaching & Consulting Services

· Scheduling begins after payment/contract execution.

· Cancellations requested 7+ days before the first session may, at our discretion, receive a credit or partial refund minus administrative fees (typically 10%–20%).

· Once coaching begins, all payments are non-refundable. Missed sessions may be forfeited if notice requirements are not met per your agreement.

8) Gift Cards & Coupons

· Single-use unless otherwise stated; subject to expiry/validity rules permitted by applicable provincial law.

· May not be exchanged for cash; lost or stolen cards/codes will not be replaced.

9) Bonus/Gratis Tickets & Add-Ons

· Complimentary or bonus items (including event tickets) have no cash value, are non-transferable, and must be redeemed within 12 months of issue (unless otherwise specified).

· We may substitute an equivalent bonus item due to availability.

10) Canada Real Estate Club / Investment-Related Communities

Some programs include access to communities where members may discuss real-estate opportunities. Rubay and its divisions are not registered dealers, advisers, or investment fund managers under Canadian securities laws. Rubay does not provide investment advice, endorse offerings, or intermediate transactions.

· Any investment you consider is your own decision and risk.

· Offers to buy/sell securities can only be made via official offering documents from the issuer, and only where legally permitted.

· Members must comply with Canadian securities laws, including exemptions that may apply to private placements and resale restrictions.

· Always seek independent professional advice before investing.

11) Live Event Tickets (In-Person or Virtual)

· All tickets are non-refundable. If you cannot attend, you may request:

o Ticket transfer to another individual (written notice 72+ hours before the event), or

o A credit toward a future Rubay event (subject to approval, availability, and any stated limits).

· Seat selection and access levels are subject to availability.

· We may change dates, venues, seating limits, or convert to virtual to comply with law/venue requirements or for safety reasons.

· If Rubay cancels an event (not rescheduled within 180 days), you will receive a credit (not a cash refund), unless a refund is required by applicable law.

· Processing fees and any bundled hotel/travel elements (if offered) are non-refundable. Travel/accommodation costs are your responsibility.

Entry & Age: Each attendee must hold a valid ticket and meet the event’s minimum age (generally 18+ unless stated otherwise). No entry without a ticket.

Recording & Media: Events may be filmed/recorded/photographed. By attending, you grant Rubay a worldwide, perpetual, transferable licence to use your image/voice/likeness for marketing, educational, and promotional purposes without compensation.

Prohibited Items / Searches: We follow venue rules and applicable laws. Security screening may be required. Prohibited items may include weapons, illegal substances, recording equipment, large bags, etc. Entry may be refused or revoked for safety or policy breaches.

Photography/Recording by Attendees: Professional recording and live-streaming are prohibited unless expressly authorized in writing. Violations may result in removal without refund.

Harassment & Safety: We enforce a zero-tolerance policy for harassment, discrimination, or disruptive behaviour. Violations may result in immediate removal without refund.

Service Animals: We follow Canadian and provincial laws regarding service animals (e.g., Alberta’s Service Dogs Act). Emotional-support animals that are not recognized as service animals under applicable law may be denied entry.

12) Payment Plans, Subscriptions & Chargebacks

· If you purchase via a payment plan or subscription, you are responsible for 100% of the agreed total.

· Missed or late payments may suspend access until your account is current; outstanding balances remain due.

· Initiating a chargeback for delivered services/access violates these terms; we reserve all rights to collect amounts due and recover related costs.

13) Promotions, Bundles, and Limited-Time Offers

· Offers/discounts may not be combined unless explicitly permitted.

· We may substitute bundled/bonus items of equal value due to availability.

· Tickets included in bundles are subject to Section 11 and may have additional restrictions stated at purchase.

14) Third-Party Purchases & Affiliates

· If you purchase from an affiliate, sponsor, or third party, their terms and refund policies apply.

· For third-party–fulfilled items/services, contact the third party named on your receipt for support. Rubay is not responsible for third-party fulfillment.

15) Community Conduct (Online & In-Person)

You agree not to: harass, defame, spam, infringe IP, share others’ confidential info, or engage in unlawful/unsafe conduct. We may remove access for violations without refund or credit.

16) Indemnification

You agree to indemnify and hold harmless Rubay, its officers, employees, and affiliates from claims, losses, liabilities, costs, and expenses (including legal fees) arising from your purchases, attendance, conduct, or breach of these terms, except to the extent caused by Rubay’s gross negligence or wilful misconduct.

17) Limitation of Liability

To the maximum extent permitted by law, Rubay is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits/revenue/goodwill, arising from purchases, attendance, or use of products/services. Our total liability, if any, is limited to the amount you paid for the specific product/service at issue, unless prohibited by law.

18) Force Majeure

We are not responsible for delay, modification, or cancellation caused by circumstances beyond our reasonable control (including public-health restrictions, government actions, venue closures, weather, strikes, acts of God). Events may be rescheduled or converted to virtual format.

19) Changes to this Policy

We may update these Terms & Conditions of Purchase at any time. The effective date above reflects the latest version. Continued purchases or attendance after changes constitutes acceptance.

20) Governing Law & Disputes

These terms are governed by the laws of the Province of Alberta and the laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts in Alberta, Canada.

RUBAY ENTERPRISES INC. REFUND & CANCELLATION POLICY

GENERAL POLICY

Rubay Enterprises Inc. provides professional education, business coaching, and event programs designed to deliver measurable value.
Due to the nature of our services — including live events, coaching, and digital content — all sales are generally final unless otherwise stated in a specific written agreement or event registration form.

We encourage all participants to carefully review program details before completing a purchase.

DIGITAL PROGRAMS AND COURSES

Access to online programs, downloadable materials, or digital memberships begins immediately upon payment.
Because digital access cannot be revoked once granted, no refunds or cancellations will be issued for these purchases.

Exceptions may apply only in cases of technical failure preventing access to purchased material, and must be reported within 7 calendar days of purchase to [email protected].

COACHING AND CONSULTING SERVICES

All coaching and consulting programs are delivered on a scheduled basis.
Cancellations must be requested at least 7 days prior to the first scheduled session.
If accepted, Rubay Enterprises may offer:

· A credit toward a future program of equal or lesser value, or

· A partial refund minus administrative fees (typically 10%–20%), at our discretion.

Once coaching has begun, all payments are non-refundable.

LIVE EVENTS, WORKSHOPS, AND CONFERENCES

Tickets purchased for live or virtual events are non-refundable.
If you cannot attend, you may:

· Transfer your ticket to another individual by written notice to [email protected], at least 72 hours prior to the event start date; or

· Request a credit toward a future event hosted by Rubay Enterprises, subject to approval.

Event cancellations by Rubay Enterprises will result in a full credit or rescheduling option, but not monetary refund unless required by law.

PAYMENT PLANS

Participants using installment or payment plans remain responsible for completing all agreed payments.
Failure to maintain payments may result in suspension of access and may be referred to collections if left unresolved.

DISPUTES AND CHARGEBACKS

We encourage open communication. If a billing concern arises, please contact [email protected] before initiating a chargeback with your financial institution.
Unresolved disputes may result in immediate termination of services and loss of access to Rubay programs.

FORCE MAJEURE

Rubay Enterprises Inc. is not responsible for delays, rescheduling, or cancellations due to circumstances beyond our control, including but not limited to acts of nature, public health restrictions, government regulations, or venue closures.
In such cases, events may be rescheduled or converted to virtual format.
